Welcome to Wisdom Competencies Private Limited (“we”, “us”, or “our”). These Terms and Conditions (“Terms”) apply to all individuals, corporations, and entities (“you” or “your”) who access and use the training services provided by Wisdom Competencies Private Limited through its appointed facilitator (“Trainer”).

By booking, attending, or participating in any of our training sessions, you agree to comply with these Terms. If you do not agree with any of these Terms, you must refrain from using our services.

1. Training Services

Wisdom competencies private limited provides professional training programs for corporate clients. Our services include, but are not limited to, leadership development, team-building workshops, communication skills training, and customized corporate training programs (“Training Services”).

2. Booking and Registration

• All bookings for training sessions must be made in advance via our official website or through direct communication with the Trainer.
• Upon confirmation of your booking, an agreement will be established between Wisdom competencies private limited and your organization or individual participant.
• Bookings for corporate training programs may require a signed contract and a deposit payment to confirm the reservation.
• Details of the scheduled training sessions, including dates, times, and location (if applicable), will be provided to you upon confirmation.

3. Fees and Payment

• The fees for our Training Services will be agreed upon prior to the training session and are based on the type, length, and customization of the session.
• Payments are due as specified in the training agreement, and may be required in full or in installments, depending on the terms set out in the agreement.
• All payments should be made in the manner indicated during the booking process, and failure to pay on time may result in cancellation or rescheduling of the training session.

4. Cancellation and Rescheduling

• Cancellation by Client: If you need to cancel or reschedule a training session, we require a minimum of 14 days’ notice before the scheduled date to avoid any cancellation fees. Any cancellation made less than 14 days in advance may incur a cancellation fee of up to 50% of the agreed fees.
• Cancellation by Wisdom competencies private limited: If we need to cancel or reschedule a training session due to unforeseen circumstances, we will provide you with a minimum of 7 days’ notice and offer an alternative date for the session or a full refund, depending on your preference.

5. Intellectual Property

• All content, materials, and resources provided during the training sessions, including but not limited to presentations, handouts, training manuals, and exercises, are the intellectual property of Wisdom competencies private limited.
• Participants are granted a non-exclusive, non-transferable license to use these materials solely for the purpose of internal business use. Participants may not reproduce, distribute, or modify the materials without prior written consent from Wisdom competencies private limited.

6. Confidentiality

• Both parties agree to maintain the confidentiality of any sensitive or proprietary information shared during the training sessions.
• Wisdom competencies private limited agrees not to disclose any confidential information about your organization or participants without prior written consent, except as required by law.
• Similarly, you agree not to disclose any materials or proprietary methods used in the training sessions to third parties.

7. Participant Conduct

• Participants are expected to engage respectfully and professionally during the training sessions.
• Any disruptive behavior, including but not limited to harassment, intimidation, or disruptive actions, will not be tolerated. The trainer appointed by Wisdom competencies private limited reserves the right to remove any participant who fails to comply with this requirement from the session without refund.

8. Liability

• Wisdom competencies private limited will not be held liable for any personal injuries, damages, or losses incurred during or as a result of attending the training sessions, except where such injuries or losses are caused directly by the negligence of the Trainer.
• You are responsible for ensuring that the training session environment, both physically and virtually, is safe and appropriate for participants.

9. Force Majeure

• Neither party will be held liable for any delay or failure in performance of any obligation under this agreement due to circumstances beyond their reasonable control, including, but not limited to, acts of God, war, terrorism, natural disasters, or other unforeseen events.

10. Modification of Terms

• Wisdom competencies private limited reserves the right to modify these Terms and Conditions at any time. Any changes will be communicated to you in writing and will be effective immediately unless otherwise specified.

11. Governing Law

• These Terms and Conditions will be governed by and construed in accordance with the laws of Punjab & Haryana High Court, without regard to its conflict of law principles.

12. Dispute Resolution

• In the event of a dispute, both parties agree to attempt to resolve the matter through informal negotiations. If a resolution cannot be reached, disputes will be subject to mediation or arbitration, as mutually agreed upon by both parties.
